Terms of Service & Disclaimer

The plain-words version: what Orderball promises, what it doesn’t, and what stays your responsibility as the seller. Please read it before you rely on the Service for your business.

Version v1.0 · Effective October 25, 2026

1. Who we are and what Orderball is

Orderball is a workspace for multi-store sellers: orders, inventory, shipping, returns and money in one place. The service is operated by [OPERATOR LEGAL NAME — to be confirmed] (“Orderball”, “we”, “us”) and runs on the Docklify platform. These Terms of Service and Disclaimer (the “Terms”) are the agreement between you and us for your use of Orderball, including the website, the web app and any related services (together, the “Service”).

If you use the Service on behalf of a business, you confirm that you are authorised to accept these Terms for that business. You must be at least 18 years old, or the age of majority where you live, to open an account.

2. The Service is provided “as is”

We work hard to keep Orderball fast, accurate and available, but the Service is provided on an “as is” and “as available” basis. We do not promise that the Service will be uninterrupted, error-free, or fit for any particular purpose, and we do not guarantee any specific business result — such as a number of orders, savings, or delivery times.

Some features are rolled out gradually or offered as previews. Preview features may change or be withdrawn, and are covered by these Terms in the same way.

3. Your account and your responsibilities

You are responsible for your account, your workspace, and everything that happens under them — including the actions of your team members and anyone you give access to. Keep your password and any API keys or platform credentials you connect safe; losses caused by credentials you did not protect are yours, not ours.

You are responsible for the accuracy of the data you enter or sync (products, stock levels, prices, addresses), and for complying with the laws that apply to your business — including tax, customs, consumer-protection and product-safety rules. You must not use the Service for anything unlawful, or in a way that infringes anyone else’s rights.

4. Connected third-party platforms

Orderball connects to third-party platforms and services — marketplaces and store platforms (such as Shopify and Amazon), carriers and label services, payment providers and others. Those platforms are run by their own operators under their own terms; we do not control them.

If a third-party platform changes its interfaces, limits, prices or policies, suspends your account, or suffers an outage, parts of Orderball that depend on it may stop working or work differently. To the maximum extent permitted by law, we are not liable for losses caused by third-party platforms — we will, following normal industry practice, work with you to diagnose the problem and restore the connection where we reasonably can.

5. Rollie, our AI assistant

Rollie, the AI assistant in Orderball, provides information, guidance and suggestions — for example walking you through setup, reading connection errors, and flagging stock that is running low. AI output can be incomplete, out of date, or wrong. It is not a guarantee, and it is not legal, tax, accounting or other professional advice.

Suggestions are suggestions: Rollie never changes your data on its own. Anything that matters — prices, stock, orders, refunds — takes effect only when you confirm it. Please check important results before acting on them; decisions you make based on AI output are your responsibility.

6. Plans, trials and fees

Plan features, limits and prices are as published on the Pricing page at the time you subscribe. Free trials run for the period shown when you sign up. We may change prices or plan features for future periods; if a change affects your paid plan, we will let you know in advance through the app or by email, and the change will not apply retroactively to a period you have already paid for.

7. Your data and intellectual property

Your business data — your products, orders, inventory, customers and records — belongs to you. You give us only the permission we need to store, process and sync it so the Service works, as described in the Privacy Policy. The Service itself, including its software, design and trademarks, belongs to us and our licensors; these Terms do not transfer any of it to you.

8. Disclaimer of warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits warranties or rights that cannot lawfully be limited where you operate.

9. Limitation of liability

To the maximum extent permitted by law, neither we nor our affiliates, officers, employees or suppliers will be liable for any indirect, incidental, special, consequential or punitive damages — including lost profits or revenue, business interruption, loss of customers or goodwill, or loss of data — arising from or related to the Service, even if we were told such damages were possible.

Our total liability for any claim arising from or related to the Service is limited to the greater of (a) the fees you actually paid us for the Service in the three months before the event giving rise to the claim, or (b) USD 100. This section does not apply to losses caused by our wilful misconduct or gross negligence, or to liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold us harmless from claims, losses and reasonable legal costs brought by third parties that arise from your misuse of the Service, your violation of these Terms or of applicable law, or content and data you provide — except to the extent caused by us.

11. Suspension and termination

You can cancel at any time from your workspace settings, and downgrading to the Free plan is always an option. We may suspend or terminate access if you seriously breach these Terms, use the Service unlawfully, or fail to pay amounts due — and, where reasonable, we will warn you first. After termination you can export your data for a reasonable period as described in the Privacy Policy, after which we may delete it.

12. Changes to these Terms

We may update these Terms from time to time. The current version always lives on this page, with its version number and effective date shown at the top. For material changes we will notify you in advance through the app or by email; for a major version, we may ask you to accept the new Terms again before continuing. If you keep using the Service after a change takes effect, that counts as acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, United States [JURISDICTION — to be confirmed], without regard to its conflict-of-laws rules. We will try to resolve any dispute in good faith through discussion first; if that fails, the dispute will be resolved by the state or federal courts located in California, and both sides consent to their jurisdiction. Nothing here limits any non-waivable rights you have under the laws of your own country or state.

14. Contact

Questions about these Terms: support@orderball.com. We read everything, and Rollie can point you to the right section any time.
